Definitions:
In these terms and conditions unless the context requires otherwise:

"Vhi Customer" - means a person who seeks to purchase goods via the Vhi Health Shop.

"Vhi Member" - a current Vhi Healthcare policy holder.

"Vhi Health Shop" - means the Vhi Healthcare branded internet and/or telephone service through which Customers can purchase a range of goods and services.

"Vhi Health Shop Departments" - describes the different sections of the Health Shop where Customers can purchase specific goods or services from a Supplier:

Contract

When you purchase goods or services through Vhi Health Shop you enter into a contract with the relevant Supplier, full details about which are set out in that Supplier's Department of the Vhi Health Shop.

Products will remain the property of the relevant supplier until all outstanding monies owed by the customer have been paid for in full.

Price of Goods

We are entitled to make adjustments to the Prices of Goods in order to take account of any increase in our supplier's prices, or the imposition of any new taxes/duties, however the price you will pay will always correspond to the price that was quoted on the Website at the time you placed your order.

Discounts

In certain instances and during specified time periods customers may be able to avail of once off discounts on certain products through use of voucher or discount codes. Only one discount can apply to a single purchase. The value of discounts may vary over time and the price stated at time of purchase is the price that must be paid by the customer.

15% discount before January 31st 2005.

If you are using a discount code which entitles you to a 15% discount on your purchase the following terms apply to the use of that discount code:

• It is a 15% discount on products and services purchased on the Vhi HealthShop, before 31st January 2005.
• The 15% discount will then be applied to your entire basket (with the exception of the weight loss and fitness programmes).
• This discount cannot be used in conjunction with any other promotion.

Vhi Member Price and Vhi Member Discount

In certain instances the price at which a product or service is offered to current Vhi Healthcare policyholders (Vhi Member Price) and the price offered to other customers (Regular Price) will be different, this difference is called the Vhi Member Discount. To avail of the Vhi Member Discount you must verify your current membership status at the point of purchase. Any person who is identified by us as not being a current Vhi member will be automatically charged the regular price.

Price Match Promise

The price match promise applies only to the Vhi Member Price. It means that where a product is available on the Vhi Health Shop and is also available elsewhere within the Irish Market (in this context either through a retail store in Ireland or an Irish based website*) at a cheaper price, that Vhi Health Shop will match the cheaper price. For this benefit to apply the cheaper price must be brought to Vhi's attention by the Vhi member, and the cheaper price must be the regular price of the product and not part of a temporary sale or special offer. Where a Vhi member has purchased a product during the previous 7 days on the Vhi Health Shop and notifies us that they have found the same product cheaper elsewhere, the Vhi Health Shop will reimburse the difference.

Payment

Conditions regarding payment for products and services are set out at the point of sale of the relevant Department of the Vhi Health Shop.

Your credit card or bank statement will state that the Supplier of the relevant product or service has processed payment.

Delivery

Conditions regarding delivery of specific goods and services are set out at the point of sale, of the relevant Department of the Vhi Health Shop.

Returns/Money Back

Our products are guaranteed for normal life, under standard use. If any product fails to meet your expectations it may be returned for replacement, refund or credit.

Distance Selling Regulations - Cooling Off Period

Products purchased via this website will be supplied in accordance with the terms of the EC (Protection of Consumers in respect of Contracts made by means of Distance Communication) Regulations 2001. As a result you will have a period of 7 working days (the cooling off period) from the date of receipt of the products, in which to cancel the distance contract without reason, providing the product is in the same condition it was in when you received it. If you choose to exercise this right the Company will not be responsible for the cost incurred by you in returning the good.

The right of withdrawal does not apply to products made to the customer's specifications (i.e. contact lenses, fitness, diet or smoking cessation programmes) or any perishable products.

Limitation as to Damages

The Supplier shall take all reasonable care in packaging any fragile or breakable items. In the event that any such items are damaged in transit the Supplier shall be responsible for replacement costs of item only.

Any electronic or digital equipment is sold subject to manufacturer's warranty only. Vhi Healthcare shall not in any way be responsible for any damage or any indirect loss caused by such electronic or digital equipment howsoever arising.

You acknowledge and agree that the limitation set forth above are fundamental elements of this agreement and the site would not be provided to you in the absence of such limitations.

Indemnification

You agree to indemnify, defend, and hold harmless VHI from any liability, loss, claim, and expense (including reasonable legal fees) related to your violation of this agreement.

Miscellaneous

You will not directly or indirectly place on the website any material that (i) infringes on the intellectual property rights of any third party or any rights of publicity or privacy, (ii) violates any law, statute, ordinance or regulation (including without limitation, the laws and regulations governing export control, unfair competition, anti-discrimination or false advertising), (iii) is defamatory, libellous, threatening or harassing, (iv) is obscene, pornographic or harmful to minors or (v) contains any viruses, or other computer programming routines that damage (or are intended to damage), detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information ("Offending Content"). You agree to indemnify Vhi for all losses, damages, liabilities and reasonable expenses which they incur in the defence of any third party claim arising in connection with placement of Offending Content by you on the website

VHI's failure to insist upon strict enforcement of any provision(s) of this agreement shall not be construed as a waiver of any provision or right.

Nothing contained in this website shall constitute a solicitation, offer or acceptance of a contract of private health insurance or be construed as creating or modifying any agreement with Vhi.

This agreement and the resolution of any dispute related to this agreement or this site shall be governed by and construed in accordance with the laws of Ireland. Any legal action or proceeding related to this agreement or this site shall be brought exclusively in a court of competent jurisdiction sitting in Ireland.

We reserve the right to change the terms of use or policies regarding the use of the Website (including, in particular, those relating to price or availability) at any time and to notify you by posting an updated version of the terms of use on the Website.

We may terminate the Website with or without cause at any time and effective immediately. In addition, we may at our sole discretion, terminate your Account for violation of these terms and conditions.
